Terms & Conditions for Synchronous Services UK

1. Introduction

These Terms & Conditions ("Terms") govern the provision of services by Synchronous Services UK ("we," "us," "our") to the client ("you," "your," "customer"). By accepting our quotation or invoice, you agree to be bound by these Terms.

2. Services

  • Scope of Services: The services we provide are detailed in the quotation or invoice issued to you. Any additional services requested by you may incur additional charges and will be subject to these Terms.
  • Changes to Services: Any changes to the agreed-upon services must be confirmed in writing by both parties.

3. Quotations and Invoices

  • Validity: Quotations are valid for 30 days from the date of issue unless otherwise stated. After this period, we reserve the right to revise the quotation.
  • Acceptance: Your acceptance of our quotation must be confirmed in writing. Upon acceptance, these Terms will be deemed to have been agreed upon.
  • Invoices: Invoices will be issued upon completion of services or as otherwise agreed. Payment terms will be specified on the invoice.

4. Payment Terms

  • Due Date: Payment is due within 15 days from the date of the invoice unless otherwise specified.
  • Late Payments: Late payments will incur interest at a rate of 1.5% per month, calculated daily, from the due date until payment is received in full.
  • Disputes: Any disputes regarding invoices must be raised within 10 days of the invoice date. Disputes must be submitted in writing with detailed reasons for the dispute.
  • Methods of Payment: Payments can be made via bank transfer, cheque, or other methods as agreed upon.

5. Confidentiality

  • Confidential Information: Both parties agree to keep all confidential information disclosed during the course of the engagement confidential and not to use it for any purpose other than as necessary to fulfill their obligations under these Terms.
  • Exceptions: Confidential information does not include information that is publicly available, already known to the recipient, or required to be disclosed by law.

6. Intellectual Property

  • Ownership: All intellectual property created by us in the course of providing services remains our property unless otherwise agreed in writing.
  • License: We grant you a non-exclusive, non-transferable license to use the deliverables for the purpose for which they were created.

7. Liability

  • Limitation of Liability: Our liability to you for any claim arising out of or in connection with the provision of services is limited to the amount paid by you for those services.
  • Exclusions: We will not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of profits, data, or business opportunities.

8. Termination

  • Termination by You: You may terminate the services at any time by providing 30 days’ written notice. You will be liable for payment for all services rendered up to the date of termination.
  • Termination by Us: We may terminate the services if you fail to comply with these Terms, including failure to pay invoices on time. We will provide you with written notice of termination.

9. Force Majeure

We will not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, war, riots, and other unforeseen events.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of the United Kingdom.

11. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between the parties and supersede all prior agreements and understandings.
  • Amendments: Any amendments to these Terms must be made in writing and signed by both parties.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue to be in full force and effect.
  • Waiver: The failure of either party to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
